Aurelius and Lower Saxony Acquire Volkswagen Osnabrueck Plant to Focus on Defense Production

BERLIN / RankWire.AI / – Volkswagen AG has entered into an agreement to transfer its Osnabrück assembly plant to the private equity firm Aurelius Capital and the government of Lower Saxony, marking a strategic shift from automotive manufacturing to European military production. As passenger car assembly diminishes by mid-2027, the new ownership intends to transform the 430,000-square-meter site into a hub for defense technology. In collaboration with state-owned defense contractor Rafael Advanced Defense Systems, the plant will produce air defense systems and specialized vehicle parts, setting a precedent for European industrial adaptation amid increasing regional defense expenditures.

Under the terms of the joint ownership, Aurelius Capital, based in Tel Aviv, will hold the majority stake, while the government of Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority share. The first major project at the redeveloped site involves a manufacturing partnership with Rafael Advanced Defense Systems, an Israeli state-owned defense company. The focus will be on producing specialized systems and mechanical parts for air defense infrastructure intended for Germany and allied European nations.

Volkswagen’s decision to repurpose the Osnabrück facility follows its 2024 strategic plan to cease passenger vehicle assembly there by mid-2027, due to ongoing overcapacity issues. According to statements from the factory works council, the defense manufacturing agreement aims to preserve roughly 1,200 technical jobs at the plant. This move reflects a broader trend of European vehicle manufacturers exploring alternative uses for excess manufacturing capacity, as the Israel-Aurelius German government collaboration takes over VWs Osnabrück plant for defense projects.

Volkswagen executives emphasized that this sale supports their wider efficiency initiatives aimed at streamlining European operations. Volkswagen AG CEO Oliver Blume explained that the deal not only provides a sustainable industrial future for the Osnabrück site but also meets the company’s commitments to its regional workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted that the plant’s precise manufacturing capabilities and skilled workforce make it well-suited for high-tech defense production.

This restructuring occurs amid increasing financial challenges facing traditional European automakers, including declining demand for battery-electric vehicles, high domestic energy prices, and intensified competition from international manufacturers. Labor union representatives from IG Metall recognize that shifting civil automotive lines to defense manufacturing offers long-term employment security for regional workers, especially after months of uncertainty.

European Vehicle Overcapacity Prompts Corporate Strategic Shifts

The agreement remains subject to the completion of contractual documentation, approval by relevant supervisory boards, and regulatory clearance from German antitrust authorities. Details regarding the purchase valuation, financial terms, and the precise ownership split between Aurelius Capital and the Lower Saxony government have not been made public.

Analysts in the defense sector emphasize that reallocating automotive production capacity toward military hardware aligns with rising defense budgets across European NATO member states. Monitoring committees will oversee regulatory filings and milestone achievements during the transition as Volkswagen prepares to wind down vehicle assembly at the plant before the official transfer. Updates on corporate approvals and site conversion progress will be issued through regulatory disclosures.
